Every day, new laws, regulations, and industry best practices make the formation of funds and the management of investments — and the compliance systems needed to support them — more sophisticated and complex. The world has changed in the past two decades, and the "2 and 20" business model has enormous business and legal challenges, as investment managers seek to attract and retain significant capital and deploy it effectively. We recognize the need for prompt, efficient, appropriately priced service. We understand internal fund dynamics and operations. Our business experience (including senior lawyers who have been fund principals) means our advice is practical. We believe speed counts.

Our investment funds practice serves clients ranging from domestic and offshore private investment funds to investment advisers, funds of funds, and broker-dealers. We act as regular outside general counsel to funds ranging in size from new, small businesses to global, multibillion-dollar asset management firms, and as special counsel to funds on corporate, regulatory, compliance, merger and acquisition, and related matters, and represent clients facing enforcement actions and litigation. We play on both sides of the street, with some senior lawyers focusing on the needs of general partners and others on the investor side.

We assist our fund clients throughout every stage of their fund lifecycle. We form investment funds regularly, ensure they are compliant under applicable law, and assist thereafter in portfolio company investments. These include private investments in private and public companies, joint ventures, leveraged buyouts, and consortia arrangements. We also deal with funds on matters in connection with venture capital, financing, and cross-border and carve-out transactions.

We specialize in helping individuals birth their investment businesses. Setting up a first-time fund raises unique and important business issues, and our experience allows us to help our clients get their funds formed and capital raised. We approach new fund managers with the same critical eye that limited partners and other investors bring: underwriting a track record, ensuring proper systems are in place, and diversifying risk across a functioning team of internal and external resources.

To best assist our fund clients, we draw upon skilled practitioners in the firm's other practice groups, including tax, ERISA, litigation, securities enforcement, and financial regulatory, as well as experienced professionals beyond our own firm, in a strategic, collaborative approach to help solve complex and often international issues surrounding investment fund work.
