Crowell & Moring’s Energy Group is comprised of professionals with deep experience in the evolving transactional and regulatory fields of climate law and finance. As governments and industry take steps towards regulating greenhouse gas emissions to meet domestic and multilateral commitments, we continue to help clients assess, balance and manage the business and investment risks and opportunities climate change presents.

Our team has represented and advised private sector entities and trade groups in their respective efforts to invest in and develop low carbon projects (clean energy, water, efficiency, sustainable forestry), and work with governments and multilateral financial institutions to leverage public resources to deploy innovative low carbon financings and risk mitigation tools (risk insurance, credit insurance). We combine our capabilities in securities, finance, tax, M&A and public law to execute effective climate finance transactions and environmental market solutions related to:

Our team has advised debt and equity funds on clean energy and carbon finance transactions, clean energy private placements and green bond offerings, and development bank co-financings and refinancings.

Representative Engagements

  • On behalf of Climate Markets and Investment Association, worked with Inter-American Development Bank and the Climate Bonds Initiative to develop a multilateral program that designs standardized project documentation for clean energy and energy efficiency finance aggregation platforms.
  • Acted as outside legal advisor on $133 million portfolio loan guarantee provided by the USAID Development Credit Authority to the Althelia Climate Fund, a private equity fund investing in sustainable forestry and avoided deforestation in emerging markets.
  • Advised large multinational commercial bank in the design and issuance of a $500 million dollar corporate green bond validated using the Green Bond Principles.
  • Advised the United States Overseas Private Investment Corporation staff on REDD+ and the design of its innovative forest carbon product insurance product.
  • Helped design and spearhead IETA’s development of its Climate Finance Initiative.
  • Acted as corporate counsel to the Gold Standard Foundation as part of its acquisition of international forest carbon project platform.
  • Advised several large electric utilities on bundled and unbundled environmental market purchase and sale, option and forward transactions (e.g. RECs, SRECs, RINs, CCOs, EUAs, RUAs, ERCs, CERs,VCUs/ VERs).
  • Advised large financial institution on financial carbon accounting and compliance with World Bank Equator Principles.
  • Assisted the Carbon Tracker Initiative with climate risk disclosure guidance promulgated by the Securities Exchange Commission and under voluntary approached (e.g. CDP, formerly the Climate Disclosure Project).
