We provide comprehensive representation in all aspects of domestic and cross-border M&A transactions, including stock and asset acquisitions, divestitures, spin-offs, and sales reorganizations and recapitalizations.

Project Development and Finance

Our lawyers assist clients in creating a fully integrated, carefully tailored set of financeable project documents for energy and other infrastructure projects. We advise and negotiate business structures (including joint ventures), identify and mitigate project risks, and negotiate and draft procurement and construction, operation, maintenance and other project documents. Our finance experience spans development stage financing, non-recourse project financing (of single projects as well as project portfolios), lease financings, back-leverage transactions, acquisition financing, and financings for liquidity and other purposes. Transactions have involved numerous sources of capital, such as from commercial banks, development banks, institutional lenders and private equity. The projects we have worked on include power plants, electric transmission substations and power lines, natural gas and oil pipelines, natural gas storage fields, desalination and water treatment facilities, LNG terminals, liquefaction plants, vaporization facilities, and storage tanks.
