We provide comprehensive representation in all aspects of merger and acquisition (M&A) transactions, including stock and asset acquisitions, divestitures, spin-offs, and domestic and cross-border corporate reorganizations. We handle M&A transactions from our five U.S. offices as well as our two international offices in Europe.

Our lawyers regularly represent buyers, sellers, and strategic and financial investors, including publicly traded and privately held companies, private equity funds, and hedge funds. In part due to the strength of the firm's other practice groups, a large percentage of our engagements have involved the defense, energy, government contracting, health care, pharmaceuticals and life sciences, technology, media and telecommunications, and aviation industries. We also have substantial knowledge in the financial services and financial technology industries, and have handled many deals for bulge-bracket investment banks, financial institutions, and financial services firms. We are skilled at acquiring companies and assets out of bankruptcy, including in Section 363 transactions. 

From start to finish, we help clients structure, document, negotiate, and close the transaction, as well as conduct due diligence throughout the process. Where a transaction involves the issuance of securities or securing financing, we prepare the appropriate offering memoranda and finance documents. We counsel boards of directors, assist in obtaining antitrust and other governmental approvals and clearances, and assist in post-transaction integration.

A true full-service firm, we work closely with our lawyers across several practice areas such as tax, intellectual property, government contracts, health care, financial services, antitrust, labor and employment, ERISA, bankruptcy, and environment and natural resources. 

We have the resources and experience to handle transactions of all sizes; however, our corporate M&A practice has focused primarily on "middle market" deals with sizes typically ranging from $10 million to $500 million.  Regardless of the scope of the undertaking, we pride ourselves on putting clients' objectives and needs first.
