Adelicia Cliffe is a partner in the Washington, D.C. office, a member of the Steering Committee for the firm's Government Contracts Group, and also a member of the International Trade Group. Addie has been named as a nationally recognized practitioner in the government contracts field by Chambers USA.


Addie's practice includes a broad range of counseling, transactional, and litigation capabilities with respect to government contracts, international trade, and national security issues, including: development, review, and enhancement of compliance programs; due diligence and integration issues in the transactional context; contract negotiation and administration; voluntary and mandatory disclosures; GSA Schedule contracting; U.S. export controls; the Buy American Act, Trade Agreements Act and other domestic preference programs; the Foreign Military Sales and Foreign Military Financing programs; U.S. laws and regulations application to foreign investment and ownership in the United States such as reviews conducted by the Committee on Foreign Investment in the United States (CFIUS) and measures to mitigate Foreign Ownership, Control, or Influence (FOCI). Representative engagements include:

Government Contracts and Export Control Counseling

  • Assisted clients in the development, enhancement, and implementation of compliance programs.
  • Provided on-site training for companies on a range of issues, including ethics and compliance issues and basics of government contracting.
  • Counseled clients regarding mandatory disclosure obligations and related regulatory reporting processes.
  • Counseled clients on issues related to supply chain security.
  • Counseled clients on compliance with the Buy American Act, Trade Agreements Act, and other domestic preference regimes (e.g., the various Department of Transportation agencies’ Buy America requirements, the American Recovery and Reinvestment Act of 2009 Buy American provision, the source and nationality restrictions of the United States Agency for International Development).
  • Counseled clients on compliance with GSA Schedule compliance issues.

Government Contracts Due Diligence and Transactions

  • Performed government contracts and international trade diligence, for both buyers and sellers, representing government contractors in a range of industries, such as Accenture Federal Services and HP Company.
  • Advised clients on special regulatory requirements related to cross-border investment and national security matters, including reviews conducted by the Committee on Foreign Investment in the United States (CFIUS), compliance with the National Industrial Security Program and mitigation of Foreign Ownership, Control, or Influence (FOCI mitigation).
  • Provided guidance on government contracts and trade issues in the integration of newly acquired companies into the buyer’s organization, such as the execution of novation agreements and the transfer of export authorizations.

Government Contracts Litigation and Investigations

  • Assisted contractors in performing internal investigations and defending against Government investigations into various compliance issues (e.g., potential export control violations, non-compliance with domestic preferences, GSA Schedule pricing requirements).
  • Assisted contractors in drafting and settling voluntary, directed, and mandatory disclosures.
  • Assisted clients in bringing claims against government customers, responding to cure notices, and defending against terminations for default.
  • Represented contractors in investigations related to the civil False Claims Act.
  • Represented clients in bid protests.


Addie received a B.S. from the Georgetown University School of Foreign Service in 1998. She graduated from the George Washington University Law School in 2006 with high honors and as a member of the Order of the Coif, receiving the National Association of Women Lawyers’ Outstanding Law Graduate Award. At George Washington, she was editor-in-chief of the Public Contract Law Journal and received the Roger Boyd Scholar Award.

Addie first joined Crowell & Moring in 2006 and returned in 2008 after completing a one-year clerkship for the Honorable George W. Miller, U.S. Court of Federal Claims. For several years, she served as an adjunct professor of scholarly writing at the George Washington University Law School.
